RVARC Revised By-Laws March 2021
Note: Club Members please review the proposed revisions to the RVARC By-Laws. Discussion will be during the Club meeting on March 26, 2021 and a vote to accept at the meeting on April 23, 2021.
Here are a few things to note:
1. The earlier version of the bylaws you provided identified the corporation as W4CA, Incorporated. However, there is no listing of that entity at the Virginia State Corporation Commission’s clerk’s office’s web page. Roanoke Valley Amateur Radio Club, Inc. is there, though, so I have simply used that name throughout this version.
2. The clerk’s office’s web page identifies the principal office address for the corporation as PO Box 2002, Roanoke, VA 24009. I have used this same address in Article One. If that is not currently in use, we can change to any other address you need to use.
3. The prior version of the bylaws did not include an identification of the Club’s fiscal year. This element is one of the items on the form provided by the IRS for 501(c)(3)s. There is no requirement for the definition of the year – the Club can use a calendar year, or any other twelve month period that is convenient.
